These Terms of Use ("Terms") govern your access to and use of Actoria — the AI video generation and editing service available at https://actoria.ai and its related applications (the "Service"), operated by OnlyAi Limited, a company incorporated in Hong Kong (Company No. 77930018), with its registered office at Room 5003, 5/F, Yau Lee Centre, 45 Hoi Yuen Road, Kwun Tong, Hong Kong ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service in any way, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy.

2. Eligibility

The Service is intended solely for users who are at least 18 years old. You confirm that you meet this age requirement when you register. Accounts found to belong to minors will be deleted.

3. Account Registration

You must provide accurate information when you register and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. The Service and "Actors"

Actoria lets you generate and edit videos and images featuring human likenesses ("Actors"). An Actor may be:

• you, using your own uploaded material;
• a licensed AI actor provided by the Service; or
• another real person whose appearance has been confirmed and whose likeness you have the right to use.

Appearance verification and generation are performed through our processor BytePlus (using the Seedance model). Generated results are produced by AI and may contain inaccuracies or artifacts; they should not be relied upon as a truthful depiction of real events.

5. Responsibility for Generations

You are solely responsible for all content you generate, upload, request, or distribute using the Service. This includes ensuring that every generation complies with these Terms, with applicable law, and with the rights of any person depicted. We do not pre-approve generations, and we are not responsible for the content you choose to create. You agree to indemnify us against any claim arising from content you generate or from your use of the Service.

6. Likeness, Consent, and Friend Confirmation

The Service allows you to generate video of a real person only where the necessary rights and consent are in place.

Your representations. When you upload a photo or video of a person, or otherwise add rights to use a person's face or likeness into the Service, you represent and warrant that you hold the necessary rights and have obtained that person's informed consent for the creation of content with their likeness.

Friend confirmation by link. You may ask another person to confirm their own appearance using a confirmation link generated by the Service. When they open the link and confirm, they consent to the use of their likeness within the Service on the terms shown to them.

You understand and accept the transfer. When you add rights to use a person's face or likeness into the Service — whether your own material or another person's — you acknowledge that you understand to whom the likeness and related data are being transmitted (including our processors such as BytePlus) and for what purpose, and that you, and not us, are responsible for that decision and for having a lawful basis and valid consent. We provide the technical means to submit and confirm likenesses; we are not responsible for your choice to submit, invite, or use them, or for any lack of authority or consent on your part.

You may not create misleading, defamatory, deceptive, or unlawful content, including non-consensual deepfakes of any person.

7. Prohibited Content and Conduct — Zero Tolerance for Child Content

You must not use the Service to:

• upload photos of minors, or create, request, or attempt to generate any image or video that depicts, sexualizes, or involves a minor or a person made to appear as a minor, in any context;
• create non-consensual, defamatory, harassing, or unlawful content, or deepfakes without the depicted person's consent;
• impersonate others or misrepresent your identity or authority;
• infringe any third party's intellectual property, privacy, or publicity rights;
• upload malware, spam, or attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service;
• violate any applicable law or regulation.

Uploaded and generated material is subject to automated moderation (including age estimation and prohibited-content screening) and to manual review. Any attempt to upload or generate child content will result in immediate suspension and permanent deletion of your account, and material that appears to constitute child sexual abuse or exploitation will be reported to the relevant authorities. We may remove or restrict any content or account, at our discretion, to enforce these Terms.

8. License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Subject to your compliance with these Terms and applicable law, and subject to the rights of any third parties depicted, you own the generation results you create, and you are responsible for how you use them.

9. Payments, Billing, and No-Refund Policy

Certain features require a paid subscription and internal tokens ("credits"), purchased through the Service.

Payment processing. Card payments are processed by Stripe; cryptocurrency payments are processed by NOWPayments. Payments are handled directly by these processors: we do not collect or store your full card number or card security code. Pricing and any applicable taxes are shown at the point of purchase.

All sales are final — no refunds. Except where a refund is required by applicable law, all purchases are final and non-refundable. We do not provide refunds or credits for subscription fees (in whole or in part, including partially used billing periods), token packs, unused tokens, dissatisfaction with generated results, or accounts suspended or terminated for violation of these Terms. Cancelling a subscription stops future charges; access and remaining tokens stay available until the end of the paid period. Subscription tokens are valid until the end of the billing period in which they were granted and expire upon renewal or termination of the subscription; unused subscription tokens are not carried over, refunded, or compensated. Token packs purchased separately do not expire while your account remains active.

Failed generations. Where a generation fails for technical reasons, the tokens spent on it are automatically returned to your account balance. This is an internal balance adjustment, not a monetary refund.

10. Intellectual Property

The Service, including its software, models, branding, and content we provide (excluding your uploads and your generation results), is owned by OnlyAi Limited or its licensors. You may not copy, modify, distribute, or create derivative works from it except as expressly permitted.

11. Third-Party Services

The Service relies on third-party providers, including BytePlus (Seedance), Amazon Web Services (Amazon Rekognition), Stripe, and NOWPayments. Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions beyond our contractual arrangements with them.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated content will meet your expectations.

13. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of USD $100 or the amount you paid us for the Service during the period giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless OnlyAi Limited and its officers, employees, and processors from any claim, loss, or liability arising out of your content, your use of the Service, your submission or invitation of any likeness, or your breach of these Terms or of any third party's rights.

15. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected abuse, or legal concerns. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 5, 6, 7, 10, 13, and 14) will survive.

16. Force Majeure

We are not responsible for any failure or delay caused by events beyond our reasonable control, including outages of third-party providers, network failures, or acts of government.

17. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles. The courts of Hong Kong shall have jurisdiction over any dispute arising out of or relating to these Terms.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
